Mergers and acquisitions
Mergers and acquisitions is one of the core business areas of Tianheng. The targets of mergers and acquisitions include private enterprises, wholly state-owned enterprises, holding and participating enterprises, listed and unlisted companies at home and abroad, etc. The forms of mergers and acquisitions include equity acquisition, asset acquisition, leveraged buyout, tender offer acquisition, auction acquisition, hostile takeover, as well as mergers and divisions of legal persons and unincorporated entities. Tianheng combines business skills with industry knowledge, and has a profound understanding of how to carry out various merger and acquisition transactions for relevant target projects in cross-border and local markets. In 2013, Tianheng was nominated for the "Best M&A Project of the Year" China Law Award by ALB (Asian Legal Journal). In 2015, Tianheng won the "Best Investment and M&A Award" at the SGLA Biennial Awards.
Main Services
- Conduct due diligence on the enterprise to be acquired, issue a "Legal Opinion" based on the investigation results, warn of relevant legal risks, and formulate feasible solutions
- Based on the ultimate business goals of the client, assist in designing a transaction architecture plan that is both legal, secure, economical and operational
- Assist the client in tax planning and further adjust and improve the transaction structure plan as needed for tax planning
- Participate in the negotiations between the two parties of the merger and acquisition, and while safeguarding the interests of the client, also play a positive role as a communication bridge
- Draft, revise and review all legal documents related to mergers and acquisitions
- Assist in organizing the implementation of merger and acquisition contracts, assist in handling the closing procedures, and assist in handling the collection and payment procedures of merger and acquisition transaction funds
- Assist in handling anti-monopoly review procedures and cooperate in preparing relevant legal documents
- For non-100% merger and acquisition projects, subsequent cooperative operation matters involving all shareholders will also be involved after the completion of the merger and acquisition
